The staging of an acquisition engagement or assignment typically involves:

  • Information collection and analysis – analysis of financial and other information provided by the vendor including industry or sector information.

  • Financial analysis and valuation – the price paid for the business should be based around a number of factors including assessment of the value of the target business

  • Structuring the transaction to minimise your risk – this might include deferred payment terms aligned with vendor finance or payments based on the target business achieving an agreed level of earnings

  • Due diligence –  assistance with compilation of a due diligence work program and oversight of the question and answer process. 

 

  • Commercial review of legal documentation – MKP Corporate works closely with the client’s lawyers to ensure the agreed commercial terms are properly included in the legal documentation of the business acquisition.
